Terms of Service

Article 1 (Purpose)

These "Terms of Service" (hereinafter referred to as the "Terms") define the conditions for using MUSO.direct (hereinafter referred to as the "Service"). All customers who equate to perform user registration (hereinafter referred to as "Users") must use the Service in accordance with these Terms.

Article 2 (Definitions)

• "The Service" means the service named "MUSO.direct" provided by us (including any service after change if the name or content of the service is changed for any reason).
• "Artist User" means a user who uses the Service to sell and distribute their own digital content.
• "General User" means a user who uses the Service to view and purchase content.
• "Content" means information such as music data, images, text, etc., provided by Artist Users through the Service.

Article 3 (Registration / Invitation Only)

1. The Service is strictly invitation-only for the time being. User registration requires an invitation code from an existing user or a special token issued by the Service.
2. Applicants for registration shall apply for usage registration by the method specified by the Service after agreeing to these Terms, and usage registration shall be completed when the Service approves this.
3. The Service may not approve the application for usage registration if it determines that the applicant has the following reasons, and shall not be obliged to disclose the reason.

• If false information is reported
• If the application is from a person who has violated these Terms
• Other cases where the Service determines that usage registration is not appropriate

Article 4 (Plans and Fees)

1. Users can select and use one of the following plans defined by the Service.

• Basic Plan (Monthly Fee: ¥0):
  • Storage: 700MB
  • Commission: 15%
  • Limited features
• Plus Plan (Monthly Fee: ¥300):
  • Storage: 5GB
  • Commission: 10%
  • Access to Pro features (Analytics, Custom URL, etc.)
• Studio Plan (Monthly Fee: ¥2,980):
  • Storage: 100GB
  • Commission: 8%
  • Full feature access, Priority support

※Users who acquired the special commission rate as an early registration benefit will not have that rate changed except in special cases.

2. There is a limit of 500MB per file for content upload.
3. Fees for paid plans shall be paid via Stripe. Stripe payment fees are borne by the customer.
4. Plan changes are possible at any time, but if the storage capacity exceeds the limit at the time of downgrade, new uploads cannot be made until the excess data is deleted.
5. The fees for this Service may be changed in the future due to changes in economic conditions, etc.

Article 5 (Sales and Purchases)

1. Artist Users can sell their own content through the Service.
2. The sales price of content can be freely set by the Artist User.
3. Due to the nature of digital content, returns and cancellations after purchase are generally not accepted.
4. Payments are made through Stripe, and the amount obtained by deducting the commission fee according to each plan and the settlement fee from the sales proceeds is deposited into the Artist User's account (Stripe Connect).

Article 6 (Intellectual Property Rights)

1. Copyrights of text, images, programs, etc. included in the application itself belong to the Service.
2. Copyrights of content posted or uploaded by users are reserved by the user or the legitimate right holder.

Article 7 (Prohibitions)

Users must not perform the following acts when using the Service.

• Acts that violate laws or public order and morals
• Acts related to criminal acts
• Acts that infringe copyrights, trademark rights, and other intellectual property rights contained in the Service
• Acts of illegally collecting, disclosing, or providing personal information, registration information, usage history information, etc. of others
• Acts of uploading content that infringes on the copyrights of others
• Acts that destroy or interfere with the functions of the Service's server or network
• Acts that may interfere with the operation of the Service
• Acts of unauthorized access or attempting it
• Acts of impersonating other users
• Acts of advertisement, solicitation, or business activities on the Service not permitted by the Service

Article 8 (Disclaimer)

1. The Service does not explicitly or implicitly guarantee that there are no factual or legal defects (including defects relating to safety, reliability, accuracy, completeness, validity, fitness for a particular purpose, security, etc., errors and bugs, infringement of rights, etc.).
2. The Service shall not be liable for any damages caused to the user due to the Service, except in cases of intentional or gross negligence by the Service.
3. Even if the Service bears responsibility for any reason, it shall bear responsibility for compensation only within the range of the amount of usage fees (for one month) received from the user.

Article 9 (Change of Service Content, etc.)

The Service may change the content of the Service or stop providing the Service without notifying the user, and shall not be liable for any damages caused to the user by this.

Article 10 (Governing Law and Jurisdiction)

In interpreting these Terms, Japanese law shall be the governing law.
In the event of a dispute regarding the Service, the Nagoya District Court shall be the exclusive agreed jurisdiction.
